1. Introduction and Acceptance

Welcome to The Property Drop, a service operated by The Property Drop Group Ltd ("we," "us," or "our"), a company registered in England and Wales. These Terms and Conditions ("Terms") govern your access to and use of The Property Drop website at thepropertydrop.com, our subscription services, tools, and related content (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

The Service is intended for users aged 18 or over. By using the Service, you confirm that you are at least 18 years old.

2. About The Property Drop

The Property Drop is a property buyer intelligence platform. We provide curated property listings sourced from third-party estate agents, property portals, and other sources, alongside research and educational analysis, market data, and decision-support tools for people considering property in France, Italy, Spain, and Portugal. Our Service may include:

• Curated property listings across France, Italy, Spain, and Portugal, updated regularly
• Decision-support tools and calculators
• Market data and educational research
• The Property Knowledge Base and related guides
• The Private Buyer Intelligence Dossier, prepared on request
• Archived property listings

The Property Drop does not act as an estate agent, intermediary, or advisor in any transaction and does not facilitate introductions, negotiations, or transactions. We do not sell properties, represent buyers or sellers, participate in property transactions, or earn commission from any property featured in the Service.

3. Accounts, Subscriptions, and Cancellation

3.1 Registration

To access certain features of the Service, you must create an account and, for paid features, purchase Full Access or another paid product. You agree to provide accurate, current, and complete information during registration and to keep it accurate, current, and complete. Your account is personal to you, and one account is permitted per person. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You may not share, sell, transfer, or allow any other person to use your account or access.

3.2 Subscriptions and One-off Purchases

We offer access on a monthly or annual subscription basis ("Full Access"), along with one-off purchases including the Private Buyer Intelligence Dossier, individual guides, and digital downloads. Fees are charged in advance through our payment providers. The price that applies to your purchase is the price displayed at the time you place your order.

3.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You authorise us, through our payment providers, to charge your payment method for the renewal fee at the then-current price. Where required by law, including for subscribers in the United Kingdom, we will send you a reminder before your subscription renews into a new paid term.

3.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period, and you will retain access to the Service until the end of that paid period. This does not affect any right of withdrawal or refund set out below.

3.5 Full Access Satisfaction Guarantee

We want Full Access to leave you clearer and better prepared. If, within 14 days of your first Full Access purchase, you do not feel clearer or better prepared than when you started, you may contact us at hello@thepropertydrop.com to request a full refund of that first payment. This satisfaction guarantee is offered voluntarily and in addition to any statutory rights you may have under the sections below.

3.6 Right of Withdrawal: Full Access Subscriptions

If you reside in the European Union (EU), European Economic Area (EEA), or the United Kingdom (UK), you have a statutory right to cancel your subscription within fourteen (14) days from the day you first purchase it (the "Cooling-Off Period"). By subscribing, you explicitly request that access to the subscription content begins immediately. If you exercise this right during the Cooling-Off Period, we will refund the fees you paid, less a proportionate (pro-rata) amount corresponding to the number of days you had access before notifying us, except where the satisfaction guarantee in section 3.5 entitles you to a full refund.

If you reside outside the EU, EEA, or UK (including but not limited to the United States, Canada, and Australia), no statutory cooling-off period applies to subscription purchases, subject to applicable local consumer protection laws. The voluntary satisfaction guarantee in section 3.5 remains available to you.

3.7 Right of Withdrawal: Private Buyer Intelligence Dossier

The Private Buyer Intelligence Dossier is a highly personalised, custom-built report produced using the specific criteria you provide.

EU, EEA, and UK residents: In accordance with Article 16(c) of the EU Consumer Rights Directive and the UK Consumer Contracts Regulations, the statutory 14-day right of withdrawal does not apply to the supply of content made to your specifications or clearly personalised. By checking the confirmation box at checkout or on the intake form and submitting your order, you give your express prior consent for us to begin production of your report immediately, and you acknowledge that you lose any statutory right to cancel or obtain a refund once work on your report has begun.

Residents of the United States, Canada, Australia, and all other non-EU/UK jurisdictions: all orders for the Private Buyer Intelligence Dossier are non-refundable and cannot be cancelled once submitted, as they are custom-built to order.

3.8 Right of Withdrawal: One-off Digital Guides and Downloads

Our digital guides, e-books, templates, and live PDF products are instant-access digital content.

EU, EEA, and UK residents: In accordance with Article 16(m) of the EU Consumer Rights Directive and the UK Consumer Contracts Regulations, by checking the confirmation box at checkout you expressly request immediate access and acknowledge that you lose your statutory 14-day right of withdrawal, and will not be eligible for a refund, once the download or access link is made available to you. If you purchase a guide but do not access it, your 14-day right of withdrawal is unaffected until you do.

Residents of the United States, Canada, Australia, and all other non-EU/UK jurisdictions: all sales of downloadable digital content are final and non-refundable from the moment of purchase.

3.9 Price Changes

We reserve the right to change our fees. We will provide you with reasonable advance notice of any change that affects you. Your continued use of the Service after a fee change takes effect constitutes your acceptance of the new fees. If you do not agree to a change, you may cancel before it takes effect.

4. User Obligations and Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws
• Share your account credentials with others or allow others to access your account
• Reproduce, distribute, modify, or create derivative works of our content without permission
• Scrape, harvest, or collect data from the Service using automated means
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Service to transmit any viruses, malware, or other harmful code
• Attempt to gain unauthorised access to any portion of the Service

5. Third-Party Content and Listings

The property listings, images, descriptions, and other content featured in the Service are sourced from third-party estate agents, property portals, and other sources ("Third-Party Content"). We do not create, verify, or guarantee the accuracy of Third-Party Content.

The Service may contain links to third-party websites. We do not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party websites. You access third-party websites at your own risk.

6. Intellectual Property Rights

6.1 Our Content

The Service, including its design, layout, text, graphics, tools, and software, is owned by The Property Drop Group Ltd and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without our express written permission.

6.2 Third-Party Content

Property images, descriptions, and other content sourced from third parties remain the intellectual property of their respective owners. We use this content under licence or with permission for the purpose of providing the Service. You may not use Third-Party Content for any purpose other than viewing it through the Service.

6.3 Your Use

Your Full Access subscription grants you a limited, non-exclusive, non-transferable licence to access and view the Service for your personal, non-commercial use only.

7. Disclaimers

We specifically disclaim any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The information provided through the Service is accurate, complete, or current
• Any property featured in the Service is suitable for your needs
• Any property featured in the Service is still available or accurately priced

7.1 Not Professional Advice

The Service is for informational and educational purposes only and does not constitute legal, financial, tax, investment, or professional advice. You should consult with qualified professionals before making any property purchase or investment decision. The Service includes both free features and paid features. These disclaimers apply to all features, tools, calculators, and outputs, whether free or paid, and are also displayed within the individual tools and on their results pages.

7.2 No Agency Relationship

We are not estate agents, brokers, or intermediaries. We do not represent buyers or sellers and do not participate in property transactions. Any communication regarding a property must be conducted directly with the relevant estate agent or property owner.

7.3 Tools, Calculators, and AI-assisted Features

Our calculators, tools, and AI-assisted features provide research and educational analysis only, based on third-party data, the information you provide, and stated assumptions. Their outputs are estimates and may contain errors, omissions, or out-of-date information. They do not constitute legal, financial, tax, investment, or professional advice. You must verify all information independently and seek advice from suitably qualified professionals before relying on any output to make a decision.

8. Limitation of Liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.

Subject to the paragraph above, and to the fullest extent permitted by law, The Property Drop Group Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorised access, use, or alteration of your content
• Any property transaction or investment decision you make based on information from the Service

Subject to the first paragraph of this section, our total liability to you for all claims relating to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

If you are a consumer, you have legal rights in relation to services that are not carried out with reasonable care and skill, and to digital content that is faulty or not as described. Nothing in these Terms affects these statutory rights.

9. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless The Property Drop Group Ltd, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and reasonable costs (including reasonable legal fees) arising out of or related to:

• Your breach of these Terms
• Your misuse of the Service
• Your violation of any applicable law or of the rights of any other person or entity
• Any property transaction or dispute you enter into involving a property featured in the Service

This clause does not apply to the extent that any claim or loss arises from our own breach of these Terms, negligence, or wilful misconduct, and nothing in this clause limits your statutory rights as a consumer.

10. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.

We comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if we believe you have violated these Terms.

Upon termination, your right to access and use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date at the top of this page. We may also notify you by email.

Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer resident in the European Union, you may also have the right to bring proceedings in the courts of your country of residence.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and The Property Drop Group Ltd regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control.
